The Corporation as a Legal Entity Coursework Example | Topics and Well Written Essays - 1000 words
The Corporation as a Legal Entity - Coursework ExampleThe formation of an entity requires the input of distinct stakeholders, including the averers, the investors, and the directors and managers. At law, the smoke is a separate legal entity from all those heap involved in its formation, and has it owns rights and liabilities. Therefore, it is evident that the corporation has its own rights and duties, separate from the directors and stakeholders in the company, who atomic number 18 usually separated from the corporation by a corporate veil. This means that a company bottom, in its own right, perform contracts, own assets, perform straight actions, and be liable to the authority in its own name. This principle, called the Salomon Principle, was established in 1897 in the case of Salomon V. Salomon, which will be discussed in detail at a later stage in this paper. This principle was later affirmed by the House of Lords, which stated that the company is not an agent of the owner s of the said company. This means that, in law, the company is an entirely separate being from the subscribers to its memorandum, and in law, is not an agent or trustee of the said subscribers. The Establishment of the Doctrine of Incorporation The doctrine of incorporation was firmly established by the House of Lords in Salomon V. ... ted that, even though the company could be the same as it was before incorporation, with the same managers, same people sharing profits, it is still an entirely separate entity. The members are, therefore, not liable in any way for the company, except in instances as prescribed in the Companies numeral 2006. In stressing this doctrine, the House legalized the usage of the corporation by individuals seeking to put a veil between themselves and their creditors. The effects of this decision are widespread, for example, in Foss V. Harbottle (1843), it was held that the corporation can sue and be sued in its separateness from the shareholders. The decisi on in Regal (Hastings) V. Gulliver (1942) also established that the other effect of the Salomon Principle was that the company has endless succession, and that the company can enter into contracts in its own name, separate from its shareholders. The fourth implication of the Salomon Principle is that the corporation has the sole right to acquire, possess and dispose of its own assets, which was decided in Macaura V. Northern Assurance Limited (1925). However, Lord MacNaughtens ruling concerning the Salomon Principle was not a good decision, since it gives some parties unreasonable shield, which can be detrimental to the individuals dealing with the companies. The case established an important principle in company law, that of the independent existence of a registered company or corporation. The obstinate application of this principle can be detrimental to the persons dealing with the company, since the corporate veil is insecure. Education and its Influence on Different Socio-economic Spheres Essay
Education and its Influence on Different Socio-economic Spheres - Essay subjectIn many societies, education is defined as a pillar of strength, alleviating the masses from ignorance and paving the way toward a bigger and brighter future. Education systems perform a fundamental role in the development of human attitudes and behavior. It directly affects several spheres of day-to-day living from wellness, gender and democracy to interpersonal relationships, environmentalism and nationality. Education and Health there is considerable evidence that education is strongly linked to health and to determinants of health such as healthy behaviour, risky contexts and preventative service use (Partnership for nipper Development, 2013). However, education does not act in seclusion from new(prenominal) factors, such as income. Income is a notably significant factor that interacts in many substantive ways with education, as an influencing factor on health. This makes it hard to assess their i ndependent effects. However, empirical investigations often find the effect of education on health is at least as great as the effect of income. Education impacts on health in two ways firstly through teaching that enables children to agree specifically about health (often known as skills-based health education) and secondly through the educational process as a whole which provides skills such as critical thinking and making choices that enable children to opt for healthy lifestyles (Partnership for Child Development, 2013). ... Certain differences between the two genders are biological they arise from natural and other differences that are linked to the different genders. In most societies, men and women have different roles and statuses. Its easy to draw connections between the behaviour of men and women, and the physical differences that we can observe. The conclusion can then be drawn that differences in behaviour can be attributed to physical differences between the two gend ers and that the differences in their mixer roles and positions grow out of their different patterns of behaviour, their abilities and limitations (Teachers Talking about Learning, 2002). However, upon review of biology, psychology, anthropology and education, we find that its very difficult to prove which behaviours in men and women arise from physical differences. Many differences, we find, could be produced by the different ways that men and women are brought up as children and arguably the education they receive. In relation to thinking and training processes, and consequently the ability to learn, males and females are more alike than different. Education and Sex Evaluations of statewide sex education programs show that these programs can help youth endure onset of sexual activity, reduce the frequency of sexual activity, reduce number of sexual partners, and increase condom and contraceptive use. Importantly, the evidence shows youth who receive comprehensive sex education are not more likely to become sexually active, increase sexual activity, or experience negative sexual health outcomes. Effective programs exist for youth from a variety of racial, cultural, and socioeconomic backgrounds. Researchers studied the National Survey of

Self-awareness and criticality are healthy aspects of any individual. This aspect is debilitating to the youths. These kinds of students exhibit self-persecution and self-hating traits. Furthermore, students may end up having depression. In addition, the instructor can experience students who have a perfectionist character trait. This aspect is more common as opposed to SWGT. The trait is a combination of environmental and inborn tendencies. Perfectionism as a trait may arise from outer sources such as parents, trainers and observations from adults. As an instructor one goes through varied challenges in handling these groups. First, students with numerous potentials are difficult to handle due to emerging of stereotypes and societal conventions. There is an emergence of accent and some limitations are applied. For instance, when girls approach colleges and cause well in music and physics, they are usually encouraged to pursue courses which represent stereotypes of society. In addition, stereotypes which are created along the gender lines, it may lead to stress (Smith et al, 2,010).

Current Events and U.S. Diplomacy - Essay ExampleThe current status of relationships between Russia and the United states cannot be termed as friendly by any means because the relationships which were strained by the US withdrawal from ABM treaty and which were further deteriorated by Iraq war and Kosovo independence crisis continued to go from bad to worse. Another significant down came in March 2007 when US announced its plans to build an anti-ballistic missile defense installation in Poland along with a radar station in the Czech democracy. According to the United States officials, the motive behind such plans is to safeguard the international peace and fasten international security against the threat posed by Iranian and North Korean nuclear weapons to the world. However Russia con positioningred this move as an aggression against them because Poland and Czech Republic are former Warsaw Pact countries and US military influence in these countries means creating an imbalance of power in Europe once again. Russian President issued various statements to protest against this action and warn the US president about the consequences of such a move while on the other side Russia continued to test its intercontinental missiles and claimed that these missiles can defeat all kinds of missile defense systems. Russia also started establishing missile defense basis along the now US backed Poland (Kegley & Blanton, 2011). The Ethics of Hate Essay Example for Free
The Ethics of Hate EssayThe First Amendment principles of free oral communication postulate been under attack since the Amendment came into being. The very nature of speech gives rise to argument because it is a soulfulnessal undertaking something that belongs to the individual al unitary. An individuals beliefs can non be judged, and speech is an expression of those beliefs. Thus, the question Is it wrong to allow speech that strikes at the heart of an individual? The despisefulness of speech is a subjective affaire that can not properly be defined by government and, therefore is an unreasonable restriction of first amendment rights. The goal of the free speech tenet is centered upon an ethical debate that is, how much freedom should be given to citizens of a free society while still providing a protected surroundings in which to live? (Weinstein 11) The Constitution is very clear on the right to freedom of expression when it states that, Congress shall make no law abri dging the freedom of speech. However, the variant of the First Amendment by the Supreme Court in Schenck v. United States put the first real restriction on free speech when it imposed the efficacy that speech could not give rise to a clear and present danger (Weinstein 17).This first restriction led to the rule being broadened to such(prenominal) an outcome that it caused suppression of unpopular political speech (Weinstein 19). The Supreme Court later narrowed the rule to outlaw any speech that tended to incite dangerous action. once again, the rule was abused and often used to stifle minority speech, one of the very groups the Amendment was meant to protect. (Weinstein) So, the dilemma has continued and still rages, especially with regard to hate speech. on that distributor point is no rational argument that hate is good.Yet, when hate is embodied in open speech, is that speech itself the culprit or the speaker? What is hateful to one person may not be to another, so is it the proper thing to do to censor all speech that is interpreted as hateful by anyone? most authorities agree that, hate speech includes the use of hurtful, biased expression threats of violence based on sex, race, ethnicity, religion and sexual orientation and offensive songs, jokes or events, such as fraternity slave auctions (Miller, and Andsager). Some of these forms of speech are indeed hurtful, even reprehensible, but at the same time they represent a thoroughgoing truth of our society individual ideas should not be censored because those in authority find them morally wrong or personally offensive (Weinstein 16). Those that would hold water a ban on hate speech raise the position that it is for the benefit of society as a whole that restrictions should be imposed. They rightfully point out that hate breeds hate and we, as a community, should take the responsibility of seeing that the spread of hateful beliefs is stopped.Cortese states that, societys mainstream culture, or a subculture, transmits the building blocks of hate speech to children as much at home as throughout the community (3). While the goal of living in a society free of discrimination, hate and fear is an admirable one, it can not be achieved by curtailing our civilian liberties. Neither can it be attained by smothering the best fancy for change the university and college campuses where traditionally the dramatic transformations of societal norms have always taken place.Restrictive speech codes on college campuses have periodically surfaced, usually during times of civil unrest. However, in the late 1980s there was an alarming number of universities implementing restrictive codes in some form or another. The proliferation of restrictive campus speech codes was wholly rare never had there been such strong support for punishing offensive speech (Walker 127). There was such a rise of discriminatory behavior on college campuses that the courts began applying cases outlawing a hostile envi ronment for minorities to the Universities.Even the courts realized, however, that campus speech codes could not be all inclusive and acknowledged that academic freedom sometimes includes the discussion of controversial subjects such as gay marriage, evolution, or affirmative action (Cortese 2). The very core of our democratic precedents is traced to the free exchange of opinions in our educational environments. If free expression of ones thoughts can not be safely uttered inside the walls of universities, then we have given up the right chart our own futures and the ideal society that we all strive will no longer exist.Individual rights are the very essence of our democracy. To unreasonably restrict those rights defeats the its every purpose An ethical responsibility to treat everyone in our society with respect and tolerance most certainly exists, but that respect can not just be for the politically correct groups. It also has to be applied to all those who the majority of us des pise in order for it to mean anything. Though hate speech is unsmooth and hurtful, it is protected by the First Amendment and therefore, should not be regulated by the government or college campuses.

Accounting fraud Essay Example for Free
Accounting fraud EssayAccounting fraud fag end be defined as knowingly falsifying accounting records in order to increase sales revenue and net income. Accounting fraud is pull in confederations by means of showing false information, using funds for illegal purposes or inflate expenses, overstating revenues, understating expenses or overstating the value of incarnate as roundabouts. All these activities ar entirely un honorable. Behaving honourablely depends on the capability to recongnize the ethical issues and to believe on their existence. This ability to respond ethically at workplace related more to attributes of corporate culture than to attributes of individual employee Individuals often fail to realise their moral obligations at work and by being subject to worlds temptation fails to maltreat on their align ethical standards and behave unethically. pile especially of todays generation argon so much engrossed in their experience different criterias of their liv es that they around forget to confine themselves to ethical boundaries that is why ethical endings be always difficult to make and its foundation is based on several factors however if we gurgle about the decision by con nervering moral philosophies of a psyche that depends on whether the person is making a work-related decision or personal-life decision.See more elementary Economic problem of Scarcity EssayA person in the handicraft sector might view of the problem by thinking otherwise beacause of the outside force and under the work pressure. However, the same decision might be unacceptable to him outside the work. The second reason of mickle changing moral philosophies could be the corporate culture where they work. Rules and personalities of a business culture person eventually effects on the person and exerts pressure to conform to the firms culture. Edward Hall (1959), described culture as a silent language, and defines it as that part of mans behavior which he acqu ires for granted, the part he doesnt think about, since he assumes it is universal or regards it as idiosyncratic. Geert Hofstede (1993) defined it as the collective programming of the mind which distinguishes one group or category of people from another. (P.489) A culture followed in corporate or on industrial level is known as Meso- culture and every organisation has their own set agendas regarding ethics because work ethics plays a polar constituent at work place to rein employees to behave ethically and keeping into account the ethical dimensions. In most of the organizations, there are set rules and policies specifically formulated to make ethical environment.Everyorganization has a culture which mainly comes from the side of upper management and the rest of the employees follows the set trends and culture of their own corporate sectors. The culture of the organization varies from organization to organization because of the different perceptions of the chief executive officers (CEO) and the get on with of Directors (BOD). Individuals in practical lives tend to take decisions according to their own moral values and set standards however, in business it changes and is quite the other way round. People get pressurised often and take decisions whatever is percieved as right or wrong in their surroundings and also choose on producing the greatest bene contacts with least harm. Individuals cannot simply enforce their personal perspective, though they are responsible for their actions but the idea of middle- management or entry level employee to have the freedom to take decision on their own at the work place is unrealistic. For example, if an employee can attract more customers by giving bribe to roundone in the business, his decision would rely on whether complying with telephoner policy or requirements is an authorized motivation to the individual or not. So for that purpose, according to Drake and Drake (1988), there is a necessity for the schooling o f training programmes to implement corporate values. These programmes must explain the ethical and legal principles to the employees and show practical examples which can be used as a guidance. (p.111) Thus, the set principles and policies regarding work ethics in an organization and in addition to that the training programs can guide, govern or direct the employees to follow ethics and helps in institutionalizing organizations. correspond to ethics consultant David Gebler, Most unethical behaviour is not done for personal gain, its done to meet performance goals. Mostly people are of the view that individual moral philosophies plays main role for the ethical behaviour in business. Although moral philosophies learned through family, religion and education are important but it is only one factor which helps in decision making it is not sufficient to prevent ethical misconduct especially in the business sector. Studies show that the reward for meeting performances and the corporate c ulture are the main drivers in ethical decision making because the companies have a life of their own and the individuals working in the company are transcended by its corporate culture and with the passage of time, these patterened activities become instituionalized within theorganization.Peer influence also effects to some extent in the decision making employees can be lulled by each other in making unethical decisions or when facing with ethical dilemmas nonetheless, everything still surrounds around the corporate culture and its strict policies for the ethical behaviour because when the policies will be strict, every employee would strive hard for the performance goal. If I fit myself in a situation where I can easily inflate my account on companys expenses, I would be swayed by the companys culture. I might not even think of committing any fraud or inflate the expense on companys account, if the company is strict in its policies. But at times, it also depends on an individual m oral values of a person in taking decision which is hereditary normally from families. According to my vantage point, individual moral development for taking a decision is a secondary factor what drives first instantly to the person to behave ethically is the corporate culture since a company cannot rely on every individual to behave ethically on their own. They cant practiced stand in front of people and say they want them to have a good attitude and be excited, says Pecos River president Elizabeth Wilson.Taking decision in practical life and in work life differs. People in their work lives are driven by some targets and goals which are triggered in them by the organisation where they work and that effects on their performance. Similarly, when they take decision in their work lives , they are not driven by their own values, the companys formulated culture effects their decision making. Nevertheless, if a person takes any decision without any concern or reflecting on the ethical d imensions these sort of misbehaviours are referred to as unethical business practices (eg Garrett et al.,1989 Giacalone and Jurkiewicz, 2003 King, 1986).According to Murphy (1989), Ethics should be followed in corporate sectors in the form of corporate creed and ethical code. The former establishes the organisational ethical values whereas the latter is a specific set of guidelines which must be developed in all functional areas of the firm. To conclude, business ethics plays a pivotal role in developing a corporate culture.Although, all the implementation of principles and ethics is a bit difficult procedure but it impacts on the employees in the organisation in higher degree and rein them from involving in unethical activities. It is obvious that in principle individuals are more ethical if a corporation has a written, formal code andless ethical otherwise. (Vitell et al.,1993,p.336). Hence, according to Vitell, the idea of a formal written code for ethics works well in corporate sector. In addition, moral values of an individual which are mainly effected by religion, personal cognitive approach, family, beliefs, education et cetera also plays an important role in preventing the employees in taking any unethical decision, however, it is only a secondary factor for an employee has a performance goal in his mind sequence working and the decision forms according to a corporate culture and the ethics followed in organizations since a company cannot rely on individuals individually to have ethical standards and beliefs. For that purpose , there is a necessity of a corporate culture which work as the main driver to act ethically in a work- place and in situations related to corporate sector.REFERENCESArunchand, C H Ramanathan, Hareesh N.
